1. Who we are & what we do
Nexyel Technologies provides email system services for businesses, including but not limited to:
- Reseller provisioning of Google Workspace and Microsoft 365 mailboxes
- Free cold‑email technical setup (DNS, SPF, DKIM, DMARC, MX) with mailbox purchases
- Deliverability audits, inbox placement checks, and related sysadmin/cloud support These Terms govern your use of nexyel.com and our services (the “Services”). By ordering or using the Services, you agree to these Terms.
2. Accounts & eligibility
- You must be at least 18 and have authority to bind your company.
- You’re responsible for all activity under your account and for keeping credentials secure.
- You agree to provide accurate information we reasonably need to set up or manage Services (e.g., domain, DNS, tenant info, registrar access or delegated access).
3. Orders, provisioning & delivery windows
- Prerequisites: Delivery timelines start after you complete onboarding steps we request (domain access/delegation, DNS readiness, payment, etc.).
- Standard delivery: Within 24 hours after prerequisites are complete.
- Priority delivery (optional): Within 12 hours after prerequisites are complete.
- Delivery involves digital provisioning (no physical shipment). We’ll confirm by email once mailboxes are live and credentials delivered.
- If prerequisites are delayed or inaccurate, delivery windows pause until resolved.
4. Pricing, billing & renewals
- Unless stated otherwise, all fees are in USD and payable in advance.
- Additional mailboxes added mid‑cycle are billed upfront at the applicable rate. Renewals continue monthly/annually as selected.
- Taxes, payment processor fees, or currency conversion charges may apply.
- Price changes: Our mailbox pricing may change if upstream providers (Google/Microsoft) change reseller pricing. We’ll notify you in advance when practical.
5. Cancellation & refunds (summary)
- You can cancel future renewals at any time by contacting us or via your portal. Cancellation takes effect at the end of the current billing period.
- We do not provide partial refunds for the remaining time in the current billing cycle.
- Refund rules for unused/undelivered items are in our Refund Policy.
6. Acceptable use
You agree not to use Services for: spam, phishing, malware, illegal content, impersonation, harassment, or violating email/anti‑spam laws (e.g., CAN‑SPAM, CASL, GDPR e‑privacy), or provider policies (Google Workspace/Microsoft 365). We may suspend/terminate if we reasonably suspect abuse, security risk, or legal risk.
7. Third‑party services
Some Services depend on third parties (e.g., Google, Microsoft, domain registrars, email platforms like Instantly/Smartlead). You must comply with their terms. We’re not responsible for outages or changes on third‑party platforms.
8. Configuration access & security
- You may grant us temporary access (e.g., delegated admin or registrar access) strictly to perform setup.
- We store secrets minimally and revoke/delete access after work completion. You should rotate passwords and revoke our access once delivery is confirmed.
9. No guarantees of results
Email deliverability depends on many factors we don’t fully control (sending practices, content, recipient systems, reputation, and recipient behavior). We provide best‑practice setup but do not guarantee inbox placement, response rates, or business outcomes.
10. Intellectual property & data
- Client domains, mailboxes, email content/data, and configurations are your property. We receive a limited, revocable right to use your IP only to deliver the Services and support you.
- Our website, brand, templates, and internal tools are our IP.
11. Confidentiality
Each party will keep the other party’s non‑public information confidential and use it only to provide/receive the Services, except as required by law.
12. Warranties & disclaimers
Services are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties (express/implied), including merchantability, fitness for a particular purpose, and non‑infringement.
13. Limitation of liability
To the maximum extent permitted by law:
- We’re not liable for indirect, incidental, special, consequential, or punitive damages, lost profits, or lost data.
- Our total liability for any claim is limited to the fees you paid to us in the 1 months before the event giving rise to the claim.
14. Indemnity
You agree to defend and indemnify us against claims arising from your content, your misuse of the Services, or your violation of these Terms or law.
15. Suspension & termination
We may suspend or terminate Services for non‑payment, security risk, abuse, or legal risk. You may terminate at any time (see Section 5). Upon termination, you remain responsible for fees already due.
16. Changes to these Terms
We may update these Terms. We’ll post the new version with an updated date and, if changes are material, we’ll notify you by reasonable means.
17. Governing law & disputes
Wyoming, USA law (state/federal courts in Wyoming) The UN CISG does not apply. Nothing limits either party’s right to seek urgent injunctive relief.
